Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of Pacefy (the "Service"), provided by Malte Hoffmann, operating as Micro-SaaS Solutions, Am Salzstadel 13, 83022 Rosenheim, Germany. By creating an account or using the Service, you agree to these Terms.

2. The Service

Pacefy is a budget pacing tool. You upload your ad-spend data (for example, CSV files you export from advertising platforms such as Google Ads, Microsoft Advertising, Meta, TikTok, Reddit, or LinkedIn), and Pacefy compares it against plans you define and provides forecasts and alerts. The Service is offered on a subscription basis.

3. Account, eligibility & business use

The Service is provided exclusively to entrepreneurs within the meaning of § 14 of the German Civil Code (BGB) acting in the course of their trade, business, or profession. It is not directed at consumers within the meaning of § 13 BGB. By registering, you confirm that you are acting in a business capacity and are authorised to act on behalf of any organisation you register.

You must provide accurate registration information and keep your account secure. You are responsible for all activity under your account.

4. Subscriptions & payment

Paid plans renew automatically at the end of each billing period unless cancelled. Payments are processed by Stripe. Fees are non-refundable except where required by law. We may change pricing with at least 30 days' notice before the next renewal.

5. Trial period

New accounts may include a free trial. At the end of the trial, the account will either be downgraded or converted to a paid plan depending on your selection. No card is required to start the trial.

6. Acceptable use

You agree not to:

  • use the Service to violate any law or third-party rights;
  • reverse-engineer, scrape, or attempt to gain unauthorised access to the Service;
  • interfere with the Service's operation or security, including by overloading it or circumventing rate limits;
  • upload or process data you are not authorised to use.

7. Your data & data processing

You retain all rights to the data you upload. You grant us the limited right to process this data solely to provide the Service. The advertising platforms from which you export data have their own terms; you are responsible for complying with them and for ensuring you are entitled to export and upload the data.

Data processing. Where we process personal data on your behalf in providing the Service, our Data Processing Agreement (DPA), available at getpacefy.com/dpa, forms part of these Terms and is incorporated by reference. You enter into the DPA by accepting these Terms.

8. Service availability

We aim to keep the Service available and accurate, but we provide no guaranteed uptime or error-free operation. Forecasts and alerts are informational only; you remain responsible for your own budget decisions.

9. Termination

You may cancel your subscription at any time from the settings page. Cancellation takes effect at the end of the current billing period. We may suspend or terminate your account for material breach of these Terms, with notice where feasible.

10. Liability

(1) We are liable without limitation for damage arising from injury to life, body, or health caused by a breach of duty on our part, for damage caused by intent or gross negligence, under the German Product Liability Act, and to the extent we have assumed a guarantee.

(2) In the case of slight negligence, we are liable only for the breach of a material contractual obligation — an obligation whose fulfilment is essential to the proper performance of the contract and on whose observance you may regularly rely ("cardinal obligation"). In such cases, our liability is limited to the foreseeable damage typical for this type of contract.

(3) Subject to paragraphs (1) and (2), any further liability is excluded. In particular, our aggregate liability for any claim related to the Service is limited to the fees you paid to us in the twelve months preceding the event giving rise to the claim, and we are not liable for indirect or consequential damages, including lost profits or lost ad spend.

(4) The above limitations also apply in favour of our legal representatives and vicarious agents.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated via email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-laws rules. Exclusive place of jurisdiction, to the extent permitted, is Rosenheim, Germany.
